Master Prompts are professional, AI-powered prompt templates available for purchase in our Marketplace. Each purchase grants you a lifetime license to use the prompt on your CyWire account.

Your License Includes:

✓ Unlimited generations

✓ All future updates (free)

✓ Commercial use rights

✓ Customization freedom

✓ Priority support

Important:

Licenses are non-transferable and tied to your account. You may not share, resell, or redistribute purchased prompts.

AI Credit Pricing

AI credit costs use a static pricing model where each operation has a fixed credit cost:

• Master Prompt Generation: 10 credits per generation
• AI Chat: 0.5 credits per message
• Document Analysis: 2.5 credits per document
• Other operations: Fixed costs displayed before execution

Transparency Commitment

⚠️ NO REFUNDS for Used Credits

• Credits are consumed when you click "Generate" - no refunds for any reason
• Output quality depends on YOUR input quality - poor prompts = poor results
• NO refunds for unsatisfactory results - outputs depend on your title, description, and specificity
• NO refunds for errors or mistakes - AI-generated content may have errors (see disclaimer below)
• NO refunds for changed minds - test with Free tier before upgrading

Master Prompt Generation Disclaimer

⚠️ Output Quality Depends on YOUR Input

Master Prompt generation is NOT guaranteed to be perfect on the first try. Output quality is directly dependent on:

• Your prompt title specificity - vague titles produce vague results
• Your description quality - incomplete descriptions = incomplete outputs
• Your Knowledge Base content - better documentation = better prompts
• Your domain expertise - you must review and refine outputs
• Industry-specific requirements - generic inputs cannot produce specialized outputs

If you do NOT follow best practices for input quality, clarity, and specificity, the results WILL be less than expected. This is NOT a defect - it is a limitation of AI technology.

What We Provide

CyWire provides a tool to assist in creating Master Prompts. We make reasonable efforts to generate useful outputs, but we do NOT guarantee:

• Perfect results on first generation
• Outputs meeting your specific needs without iteration
• Error-free content (AI can hallucinate, make mistakes, or produce irrelevant content)
• Compliance with industry-specific requirements (you must verify)
• Accuracy of technical details, legal language, or specialized terminology
• Suitability for any particular purpose without your review and refinement

Your Responsibility

You are responsible for:

• Researching best practices for prompt engineering before using credits
• Writing clear, specific, detailed input with proper context
• Iterating and refining generated outputs (multiple generations may be required)
• Reviewing all outputs for accuracy, relevance, and compliance
• Testing with Free tier before purchasing Pro/Premium/Enterprise
• Understanding AI limitations - AI is not a human expert

By using Master Prompt generation features, you acknowledge: (1) Output quality depends on YOUR input quality, (2) AI may produce errors or irrelevant content, (3) Multiple iterations may be required, (4) NO refunds for unsatisfactory results, (5) You are solely responsible for reviewing and validating outputs.

Cancellation & Refund Policy

You may cancel your subscription through the Stripe billing portal accessible from your billing settings. Your access will continue until the end of your current billing period—no immediate loss of features.

📋 How to Cancel

Go to Settings → Billing in your CyWire account
Click "View Stripe Billing Portal" button
In Stripe portal, click "Cancel plan" under your subscription
Confirm cancellation (you'll retain access until period end)

Important: Your subscription remains active until the end of your current billing period. You will not lose access immediately.

❌ NO REFUNDS

ALL SALES ARE FINAL AND NON-REFUNDABLE. We do not provide refunds or credits for partial months, unused AI credits, or any reason whatsoever. This includes:

• Subscription cancellations (partial month fees are non-refundable)
• Unused AI credits (credits do not roll over and are non-refundable)
• Marketplace purchases (all Master Prompt purchases are final)
• Account termination by CyWire (for violations or any reason)
• Dissatisfaction with platform features, AI quality, or results
• Technical issues, downtime, or service interruptions

By purchasing, you acknowledge and agree that all sales are final with no refunds under any circumstances. Test the Free tier thoroughly before upgrading.

Usage Limits

Credit Reset

AI credits reset on the first day of each month. Unused credits do not roll over.

Fair Use Policy

We expect reasonable use of the platform. Activities that may be considered abuse include:

• Automated scraping or data extraction
• Reselling or redistributing platform access
• Attempting to reverse-engineer AI models
• Excessive API calls designed to test limits

Storage Limits

Storage limits are enforced per tier. If you exceed your storage quota, you will be prompted to upgrade or delete files.

Data Privacy & AI Processing

Your data privacy is our top priority. When you use CyWire:

• We only send data to third-party AI services when you explicitly choose to process it
• According to third-party AI provider terms, data sent via API is not used to train their models
• Data is encrypted in transit via HTTPS when communicating with our servers and third-party AI services
• Database security provided by enterprise cloud infrastructure (SOC 2 Type II certified)
• You can export your private content and request account deletion at any time

Important Note

While third-party AI services commit to not training on your data, any content you submit through AI operations will be processed by external third-party services. Do not submit sensitive personal information, credentials, or confidential data unless you understand the implications.

Compliance & Regulatory Responsibility

⚠️ CRITICAL: Your Responsibility

YOU ARE SOLELY RESPONSIBLE FOR ENSURING ALL MASTER PROMPTS, AI-GENERATED CONTENT, AND PLATFORM USE COMPLY WITH ALL APPLICABLE LAWS, REGULATIONS, AND INDUSTRY STANDARDS FOR YOUR SPECIFIC INDUSTRY AND JURISDICTION.

CyWire provides tools to create and manage AI prompts, but we do NOT provide legal, compliance, or regulatory advice. You must:

• Conduct your own due diligence to research all compliance requirements, regulatory frameworks, and industry standards applicable to your business
• Add all necessary compliance information to your Knowledge Base documents and Master Prompts to ensure AI-generated content meets your industry requirements
• Verify all AI-generated content for accuracy, compliance, and regulatory adherence before using it in production or decision-making
• Maintain current knowledge of changing regulations (HIPAA, GDPR, SOX, IATF 16949, FDA, etc.) relevant to your industry
• Implement appropriate review processes with qualified professionals (legal counsel, compliance officers, subject matter experts) before deploying AI-generated content

• Healthcare: HIPAA, HITECH, FDA regulations, state medical privacy laws
• Automotive: IATF 16949, ISO 9001, customer-specific requirements (CSRs), safety standards
• Finance: SOX, SEC regulations, FINRA rules, anti-money laundering (AML) requirements
• Legal: Attorney-client privilege, bar association rules, jurisdiction-specific legal standards
• Education: FERPA, COPPA, accessibility requirements (ADA, Section 508), accreditation standards
• Manufacturing: ISO standards, OSHA, environmental regulations (EPA), product safety requirements

No Warranty of Compliance

CyWire makes NO WARRANTIES or representations that Master Prompts, AI-generated content, or platform features will meet your specific compliance, regulatory, or industry requirements. The platform is a tool; compliance is YOUR responsibility.

Content Ownership & Intellectual Property

CyWire Platform Ownership

All Master Prompts, AI-generated content, and materials created through or stored on the CyWire platform are owned by CyWire, Inc. and remain CyWire's property in perpetuity. This ownership is irrevocable and includes:

• All Master Prompt structures, schemas, and content
• All AI-generated sections, descriptions, metadata, and outputs
• All Knowledge Base embeddings, vector indices, and processed data
• All platform-generated analytics, insights, and derivatives
• All marketplace listings, community contributions, and global publications
• All content created by you or your team members on the platform

By using CyWire, you irrevocably assign and transfer all intellectual property rights in platform-created content to CyWire, including after account termination or deletion.

⚠️ Global & Marketplace Publications

When you publish Master Prompts to the Global community or Marketplace:

• All rights immediately and irrevocably transfer to CyWire, Inc.
• Content remains CyWire property even after account deletion
• You cannot revoke, unpublish, or reclaim ownership once published
• CyWire may modify, redistribute, or commercialize the content
• Revenue sharing (if applicable) ceases upon account deletion

Your Rights: Download & Backup (Private Content Only)

While CyWire retains ownership of all content on the platform, you may download private (non-published) content:

✅ Download your private Master Prompts via API or file export for personal backup
✅ Export your private content in JSON or text format for archival purposes
✅ Use downloaded private content in your own applications (subject to license terms)

IMPORTANT: Downloaded content remains CyWire property. You receive a limited license to use it, but may not resell, redistribute, or claim ownership. Publishing content to Global/Marketplace voids download rights.

User-Uploaded Content

Content you upload to Knowledge Base (PDFs, documents, etc.) remains your property. By uploading, you grant CyWire a license to process, store, and use that content solely to provide platform services.

Limitation of Liability & Indemnification

DISCLAIMER OF WARRANTIES

THE CYWIRE PLATFORM, MASTER PROMPTS, AI-GENERATED CONTENT, AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

CyWire disclaims all warranties, including but not limited to:

• Merchantability or fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or completeness of AI-generated content
• Compliance with industry regulations or standards
• Uninterrupted or error-free operation

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYWIRE'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PLATFORM, SERVICES, OR THESE TERMS SHALL NOT EXCEED THE LESSER OF: (A) $100 USD, OR (B) THE AMOUNT YOU PAID TO CYWIRE IN THE 3 MONTHS IMMEDIATELY PRECEDING THE CLAIM.

CYWIRE SHALL NOT BE LIABLE FOR:

• ANY indirect, incidental, special, consequential, exemplary, or punitive damages of any kind
• Loss of profits, revenue, data, goodwill, or business opportunities of any nature
• Regulatory fines, penalties, sanctions, or compliance violations of any kind
• Legal claims, lawsuits, investigations, or legal fees of any nature
• Third-party claims arising from your use of the platform or content
• AI-generated content accuracy, reliability, or fitness for any purpose
• Platform downtime, data loss, or service interruptions of any kind
• Actions or omissions of third-party service providers (third-party AI services, hosting, payment processors)

These limitations apply regardless of legal theory (contract, tort, negligence, strict liability, warranty, statutory, or otherwise), even if CyWire knew or should have known of the possibility of such damages. Some jurisdictions do not allow certain liability exclusions, so some of the above may not apply to you, but shall apply to the maximum extent permitted by applicable law.

YOUR INDEMNIFICATION OBLIGATION

You agree to indemnify, defend, and hold harmless CyWire, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the CyWire platform
• Your violation of these Terms of Service
• Your violation of any laws, regulations, or third-party rights
• Content you upload, create, or distribute using the platform
• AI-generated content you use in your business or applications
• Claims that your use of the platform infringes on third-party intellectual property
• Regulatory non-compliance or industry standard violations

Professional Advice Required

CyWire does not provide legal, medical, financial, or professional advice. You must consult with qualified professionals (attorneys, compliance officers, subject matter experts) before:

• Using AI-generated content in regulated industries
• Making business decisions based on AI outputs
• Deploying Master Prompts in production environments
• Relying on platform features for compliance purposes

Dispute Resolution, Arbitration & Class Action Waiver

MANDATORY BINDING ARBITRATION

YOU AND CYWIRE AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM (INCLUDING ANY ALLEGED BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY) SHALL BE RESOLVED EXCLUSIVELY BY BINDING INDIVIDUAL ARBITRATION, NOT IN COURT.

• Arbitration shall be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
• The arbitration shall take place in Delaware, USA, or remotely via video conference
• The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction
• You waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration
• Each party shall bear its own attorneys' fees and costs unless the arbitrator awards otherwise

CLASS ACTION WAIVER

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, REPRESENTATIVE ACTION, OR COLLECTIVE ACTION. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING.

Governing Law & Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any arbitration or court proceeding (if arbitration is found unenforceable) shall take place in Delaware.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

Account Termination & Deletion

Voluntary Account Deletion

You may request account deletion at any time from your profile settings or by contacting support@cywire.ai. Upon deletion request:

⏱️ 30-Day Grace Period

Your account is marked for deletion and access is restricted
You receive a platform notification with cancellation instructions
You have 30 days to cancel the deletion request via your account settings
After 30 days, deletion becomes permanent and irreversible

Content Handling Upon Deletion

• Private Team Content: Permanently deleted after 30-day grace period
• Published Global Prompts: Ownership transfers to CyWire to maintain public availability
• Marketplace Listings: Ownership transfers to CyWire; revenue sharing ceases upon deletion
• Community Contributions: Remain available; authorship credited to "CyWire Community"
• Personal Data: Deleted per our Privacy Policy (billing records retained 7 years for legal compliance)
• Backups: May persist up to 90 days in backup systems before permanent removal

CyWire-Initiated Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms of Service
• Engage in fraudulent or abusive behavior
• Fail to pay subscription fees after grace period
• Pose security or legal risks to the platform

In such cases, we will provide notice when possible, but reserve the right to immediate termination for severe violations.

📋 Why Published Content Transfers to CyWire

When you publish content globally or list it on the marketplace, other users depend on its availability. Transferring ownership to CyWire ensures the community continues to benefit from valuable contributions while respecting your authorship during your active tenure. This approach prevents broken links and maintains platform integrity.

Changes to These Terms

CyWire reserves the right to modify these Terms at any time at our sole discretion. When we make material changes:

• We will update the "Last Updated" date at the top of this page
• We may notify you via platform notification (at our discretion)
• Continued use of the platform after changes constitutes acceptance of the new Terms
• If you do not agree to the new Terms, you must stop using the platform and may request account deletion

It is your responsibility to review these Terms periodically. We are not obligated to notify you of changes, and your continued use constitutes acceptance regardless of whether you actually read the updated Terms.

Eligibility & Age Requirements

By creating an account, you represent and warrant that:

• You are at least 18 years of age or the age of majority in your jurisdiction
• You have the legal capacity to enter into binding contracts
• You are authorized to bind your organization to these Terms (if creating a business account)
• All information provided during registration is accurate and current
• You will maintain the security and confidentiality of your account credentials

Accounts created by individuals under 18 or without proper authorization will be immediately terminated without refund.
